SeatReaper

Términos del servicio

DiBeasi Global Investments LLC d/b/a SeatReaper - En vigor desde el October 18, 2026

Este documento está en inglés. La versión en inglés es la vinculante.

These Terms of Service ("Terms") are an agreement between DiBeasi Global Investments LLC, an Illinois limited liability company doing business as SeatReaper ("SeatReaper", "we", "us"), and the business that creates a SeatReaper account ("you"). By creating an account or using SeatReaper you agree to these Terms on behalf of that business, and you confirm you have authority to do so.

1. What SeatReaper does

SeatReaper helps managed service providers ("MSPs") find software licenses, backup seats and device subscriptions that are still billed for people or devices that no longer need them. It reads data from tools you connect, estimates the monthly cost of each item it finds, and produces reports.

SeatReaper is read-only by default. It never removes a license, account, seat or device on its own. You decide what to change, and you make or approve every change.

2. Your account

  • You must give accurate information and keep it current.
  • You are responsible for everything done under your logins, including by the people you invite.
  • Keep passwords and authenticator devices secure. Tell us at once if you think an account has been compromised.
  • SeatReaper is for businesses. You must not create an account for personal, household or consumer use.

3. Your clients' data

When you connect a client's tenant or tool, you confirm that you have that client's permission to do so and to process the data SeatReaper reads. As between us and you, you control that data and decide what is done with it. We process it only to provide SeatReaper to you, as described in our Privacy Policy. We will sign a data processing agreement on request.

4. Plans, billing and cancellation

  • Prices are published on the Pricing page and are charged in US dollars, before any applicable tax.
  • Paid plans are billed in advance, monthly or yearly, per active client tenant, through our payment processor, Stripe. We never see or store your full card number.
  • Plan changes take effect as described on the Billing page. You can cancel at any time; your plan continues until the end of the period you paid for and then stops renewing.
  • Except where the law requires otherwise, fees already paid are not refundable, including for partly used periods.
  • If a payment fails we may limit or suspend your workspace until it is resolved.
  • Add-ons, setup fees and complimentary or trial plans are described when they are offered. A trial or complimentary plan ends on the date we tell you, or earlier if we end it with notice.

5. Acceptable use

You must not:

  • use SeatReaper to access a tenant, account or system you are not authorized to access;
  • attempt to get around security, plan limits or access controls, or probe or attack the service;
  • copy, resell or build a competing product from SeatReaper;
  • upload anything unlawful, or anything you do not have the right to use (including logos);
  • use SeatReaper in a way that breaks the terms of the third-party services you connect.

We may suspend access that we reasonably believe breaks this section, and we will tell you why unless the law or a security risk prevents it.

6. Support access

SeatReaper staff can open a read-only view of your workspace only while an owner has granted support access, and every view is recorded in your audit log with the reason. Staff may also make account changes you ask for, or that are needed to resolve a billing or security problem, and those are recorded the same way. See What SeatReaper support can see and do.

7. Branding and white label

Plans that include branding let you put your own name, logo and colors on reports, and on some plans in the app. You confirm you have the right to use anything you upload and you allow us to display it to provide the service. You remain responsible for the reports you send to your clients.

8. Estimates, not guarantees

Costs and savings in SeatReaper are estimates built from the data and prices available to it. They can be wrong or out of date. Check each item before acting on it. See the Disclaimer.

9. Third-party services

SeatReaper connects to services we do not control, such as Microsoft 365, N-able N-central and Cove Data Protection. Their availability, data and terms are their own. We are not responsible for changes they make that affect SeatReaper.

10. Our property

We own SeatReaper, including its software, design and documentation. These Terms give you a limited, non-exclusive, non-transferable right to use it for your business while your account is active. If you send us feedback we may use it without any obligation to you.

11. Disclaimer of warranties

SeatReaper is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not promise that SeatReaper will be uninterrupted or error-free, or that it will find every item or any particular amount of savings.

12. Limitation of liability

To the fullest extent the law allows:

  • neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill; and
  • our total liability for all claims relating to SeatReaper is limited to the fees you paid us for SeatReaper in the 12 months before the event giving rise to the claim.

These limits do not apply to amounts you owe us, or to liability that cannot be limited by law.

13. Indemnity

You will defend and indemnify us against third-party claims arising from your use of SeatReaper in breach of these Terms, including claims by your clients about data you connected or changes you made.

14. Suspension and termination

You can close your account at any time: an owner can close the workspace under Settings (it is deleted 30 days later), or you can ask us. We may suspend or end your access if you materially break these Terms and do not fix it within 10 days of notice, immediately where needed to prevent harm or comply with law, or with 30 days' notice if we stop offering SeatReaper. On request within 30 days after your account ends, we will export your workspace data for you.

15. Changes to these Terms

We may update these Terms. If a change is material we will tell account owners by email or in the app at least 15 days before it takes effect. Continuing to use SeatReaper after that means you accept the change.

16. General

These Terms are governed by the laws of the State of Illinois, without regard to its conflict of laws rules. Any dispute will be brought in the state or federal courts located in DuPage County, Illinois, and both parties consent to that venue. If part of these Terms is unenforceable, the rest still applies. You may not assign these Terms without our consent; we may assign them to a successor of our business. These Terms, with any order form or written agreement that refers to them, are the entire agreement about SeatReaper.
